Committees

To ensure effective governance and oversight, the Board has established and authorised four committees. The role of the committees is to review, challenge and approve key policy decision areas, and support financial and risk management systems and controls. Society committees are composed of, and chaired by Non-Executive Directors of the Board.

Audit and Compliance

This Committee makes recommendations to the Board, for it to put to the members for their approval in the Annual General Meeting, in relation to the appointment of the External Auditor. It also approves the remuneration and terms of engagement of the External Auditor.

Nominations and Governance

This Committee leads the process for Board appointments, identifying and recommending candidates to fill Board vacancies, having evaluated the balance of knowledge, skills, geographical location, diversity, and experience of the Board.

Remuneration

This Committee is responsible, together with the Board, for ensuring that the Society’s Remuneration Policy complies with the FCA’s Remuneration Code and the Remuneration Part of the PRA Rulebook together with any other relevant guidance.

Risk

This Committee is tasked with overseeing the principle risks, as defined by the Risk Management Framework, which face the Society and determine their importance given their potential impact and likelihood of occurrence.
